Terms of Service

1. Binding Agreement

These Terms of Service ("Terms") are a legally binding agreement between you and Beeprd, Inc. ("Beeprd," "we," "us," or "our") governing your access to and use of beeprd.com, Beeprd web and mobile experiences, profiles, signals, broadcasts, messaging, events, payment-link display, analytics, support, and related services (collectively, the "Services").

By creating an account, clicking an acceptance checkbox, accessing, or using the Services, you agree to these Terms and to the policies incorporated by reference, including our Privacy Policy, Acceptable Use Policy, Cookie Notice, DMCA & IP Policy, and Security Policy. If you do not agree, do not use Beeprd.

2. Account Registration and User Responsibility

• You must be at least 13 years old and legally able to agree to these Terms.
• You must provide accurate, lawful, current account information and keep it updated.
• You are responsible for safeguarding credentials, sessions, devices, passkeys, and account access.
• You are responsible for all activity under your account, whether authorized by you or caused by your failure to secure your account.
• You must promptly notify Beeprd of suspected unauthorized access, abuse, or security issues.
• Beeprd may refuse, suspend, restrict, reclaim, or terminate accounts, handles, profiles, or features that violate law, these Terms, platform integrity, or user trust.

3. User Content, Signals, Profiles, Links, and Messages

• You own your content. You retain ownership of content you submit, publish, upload, send, link to, or display through Beeprd.
• You are solely responsible. You are solely responsible for your profile, signals, broadcasts, messages, events, payment links, contact information, claims, offers, invitations, uploaded media, subscriber lists, and external links.
• License to operate Beeprd. You grant Beeprd a worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, reproduce, adapt, and distribute your content only as reasonably necessary to operate, secure, provide, improve, promote, and enforce the Services.
• No Beeprd endorsement. Beeprd does not endorse, sponsor, verify, approve, recommend, guarantee, or assume responsibility for any user, profile, content, signal, broadcast, message, business, event, opportunity, product, service, payment link, income claim, investment claim, professional claim, external site, or third-party transaction.
• No reliance. Users and visitors must use independent judgment before relying on, purchasing from, paying, hiring, contacting, meeting, investing with, or otherwise engaging with any user or third party found through Beeprd.
• Removal rights. Beeprd may remove, limit, label, throttle, preserve, disclose, or disable content or accounts when we believe it may violate law, these Terms, our Acceptable Use Policy, third-party rights, user safety, platform integrity, or Beeprd's legal interests.

4. Prohibited Conduct and Malicious Use

Beeprd is built for professional identity, digital business cards, and intentional follow-up. We do not endorse and strictly prohibit malicious, unlawful, abusive, deceptive, or harmful use. You agree not to use Beeprd to:

• Violate any law, regulation, court order, contractual duty, platform rule, or third-party right.
• Commit fraud, scams, phishing, impersonation, social engineering, credential harvesting, identity theft, or deceptive fundraising.
• Send spam, unsolicited bulk communications, misleading broadcasts, notification abuse, or unlawful marketing.
• Harass, threaten, stalk, exploit, intimidate, dox, defame, or harm any person or group.
• Upload, transmit, or link to malware, spyware, ransomware, malicious code, or harmful technical payloads.
• Scrape, harvest, sell, or misuse personal information, contact information, subscriber data, profile data, or analytics.
• Bypass rate limits, access controls, privacy settings, security measures, billing controls, subscription limits, or entitlement gates.
• Make misleading income, employment, investment, health, legal, financial, or regulated-service claims.
• Use Beeprd for adult exploitation, trafficking, violence, illegal goods or services, sanctions evasion, terrorist content, hate, or other conduct we deem unsafe or unlawful.

Additional rules are in our Acceptable Use Policy, which is incorporated into these Terms.

5. Subscriber Controls and Communications Compliance

You are responsible for ensuring that your communications, subscriber collection, broadcasts, contact-card sharing, and promotional activity comply with applicable consent, marketing, privacy, consumer-protection, telemarketing, email, anti-spam, and data-protection laws. Beeprd provides preference and privacy controls, but those controls do not transfer your legal obligations to Beeprd.

6. Payments, External Links, Events, and Third-Party Transactions

Beeprd may allow users to display external links, social links, payment links, event links, contact details, and third-party services. Beeprd does not process, broker, guarantee, insure, verify, refund, mediate, or endorse transactions between users, subscribers, visitors, external platforms, payment providers, event hosts, vendors, advertisers, employers, customers, donors, investors, or any other third party. You use external links and payment providers at your own risk and under those providers' terms.

7. Subscription Plans, Billing, and Credits

• Beeprd may offer Free, Pro, Teams, Enterprise, usage credits, promotional codes, trials, or other offerings.
• Paid subscriptions renew automatically unless cancelled before renewal. You authorize recurring charges through our payment processor.
• Plan features, limits, pricing, credits, promotions, and availability may change as permitted by law and product terms.
• Except where required by law or expressly stated, fees and credits are non-refundable, non-transferable, and not redeemable for cash.
• Stripe and other payment providers process payment information. Beeprd does not store full payment card numbers.

8. Intellectual Property

Beeprd, the Services, software, designs, marks, logos, product names, content, and platform functionality are owned by Beeprd or its licensors and protected by intellectual property laws. You may not copy, modify, reverse-engineer, decompile, disassemble, resell, sublicense, or misuse the Services except as expressly allowed by Beeprd in writing.

9. Third-Party Services and Platform Availability

Beeprd may integrate with, link to, or rely on third-party providers for hosting, authentication, payments, email, analytics, RSS/Atom feeds, AI providers, maps, media, and other functions. Third-party services are governed by their own terms and policies. Beeprd is not responsible for third-party availability, accuracy, security, outages, policy changes, pricing, content, or conduct.

10. AI-Assisted Features and Support

• AI-assisted support and product features may generate drafts, recommendations, summaries, or answers based on available context.
• AI output may be incomplete, inaccurate, or unsuitable. You are responsible for reviewing and deciding whether to use it.
• AI is not legal, financial, medical, tax, investment, employment, security, or professional advice.
• Billing, refunds, account access, security, legal, privacy, deletion, admin-action, and user-data requests are routed for human review where required by Beeprd policy.

11. Privacy and Security

Your use of Beeprd is subject to our Privacy Policy and Security Policy. We work to protect user privacy and provide visibility controls, but you are responsible for what you choose to publish, share, send, connect, or disclose. No internet service is perfectly secure, and Beeprd cannot guarantee that unauthorized third parties will never defeat safeguards.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is," "as available," and "with all faults," without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, availability, security, reliability, or that the Services will meet your requirements.

Beeprd does not warrant or guarantee any user, subscriber, visitor, signal, message, event, payment, link, opportunity, business outcome, income result, lead, sale, conversion, engagement, notification delivery, search ranking, or third-party transaction.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Beeprd, Inc., its directors, officers, employees, contractors, agents, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, punitive, or similar damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; reputational harm; personal injury; emotional distress; security incidents; unauthorized access; third-party conduct; user content; payment disputes; event disputes; subscriber disputes; or external platform issues, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Beeprd's total aggregate liability for all claims relating to the Services will not exceed the greater of the amount you paid Beeprd in the twelve months before the event giving rise to the claim or one hundred dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Beeprd, Inc., its directors, officers, employees, contractors, agents, affiliates, suppliers, and licensors from and against all claims, demands, actions, investigations, damages, losses, liabilities, settlements, judgments, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• your access to or use of the Services;
• your content, profile, links, payment links, signals, broadcasts, messages, events, claims, offers, subscriber activity, or external transactions;
• your violation of these Terms, incorporated policies, law, regulation, or third-party rights;
• your fraud, negligence, willful misconduct, malicious use, spam, harassment, impersonation, privacy violation, or security abuse;
• disputes between you and any user, subscriber, visitor, customer, donor, vendor, employer, employee, contractor, event attendee, payment provider, platform, or third party.

15. Suspension, Termination, and Preservation

Beeprd may suspend, restrict, terminate, remove, preserve, disclose, or report accounts, content, traffic, records, or activity when we believe it is necessary to enforce these Terms, protect users, prevent harm, investigate abuse, comply with law, preserve evidence, secure the Services, or protect Beeprd's rights. We are not liable for losses resulting from enforcement actions taken in good faith.

16. Dispute Resolution, Arbitration, and Class Action Waiver

• Informal resolution: Before filing a claim, you agree to contact legal@beeprd.com and allow 30 days for informal resolution.
• Binding arbitration: Unresolved disputes will be resolved by binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, except where prohibited by law.
• Individual claims only: You and Beeprd agree to bring claims only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private-attorney-general, or representative proceeding.
• Jury trial waiver: To the extent a dispute is not subject to arbitration, you and Beeprd waive any right to a jury trial.

17. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules. Any non-arbitrable dispute must be brought exclusively in state or federal courts located in Georgia, unless applicable law requires otherwise.

18. Changes, Severability, and Entire Agreement

We may update these Terms by posting the revised version and updating the Last updated date. Continued use after changes take effect constitutes acceptance. If any provision is unenforceable, the remaining provisions remain in effect. These Terms and incorporated policies are the entire agreement between you and Beeprd regarding the Services.
